1. Use of the platform
1.1 Eligibility: By accessing or using our Platform, Users represent and warrant that they have the legal capacity and authority to enter into these Terms and Conditions and to comply with all of their provisions. Our Platform is intended for businesses, fundraising platforms, and non-profit organizations/NGOs involved in philanthropic activities.
1.2 Purpose: Our Platform aims to facilitate meaningful connections and collaborations between businesses, fundraising platforms and non-profit organizations/NGOs that share common values and goals in the philanthropic ecosystem. Users are encouraged to use the Platform only for this purpose and in a manner consistent with our mission.
1.3 Account Creation: To access certain features of the Platform, Users may be required to create an account. Users are responsible for providing accurate and current information during the registration process and for maintaining the confidentiality of their account credentials.
1.4 Prohibited Conduct: Users agree to use the Platform in compliance with all applicable laws and regulations. Prohibited conduct includes, but is not limited to:
– Engage in fraudulent or deceptive activities.
– Upload, transmit or distribute any illegal, harmful or offensive content.
– Impersonating any person or entity or falsely representing an affiliation with an organization.
– Interfere with the proper functioning of the Platform or attempt to gain unauthorized access to any system or network.
1.5 Ownership of Content: Users retain ownership of the Content they submit or post on the Platform. However, by uploading Content, Users grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt and distribute the Content for the purpose of operating and promoting the Platform.
1.6 Termination: We reserve the right to suspend or terminate the accounts of users who violate these Terms and Conditions or engage in prohibited conduct, without notice.
1.7 Registration Process: We place great importance on transparency and authenticity. To create a user account, we require users to provide accurate and relevant information, including contact details, organizational affiliation, and any documentation necessary for verification purposes. This ensures that our platform remains exclusive to legitimate stakeholders committed to making a difference.
1.8 Acceptance of Terms: By creating a User Account, Users agree to comply with our Terms and Conditions, including the User Account Terms. We have designed these Terms to protect the interests of all Users and preserve the integrity of our Platform. It is essential that Users carefully read and accept these Terms to actively participate in our philanthropic community.
1.9 Account Security: We prioritize user account security. We strongly encourage users to choose strong passwords and consider implementing two-factor authentication for added protection. Sharing account credentials is discouraged, and users are encouraged to promptly report any suspicious activity. Together, we can ensure the security and privacy of our users' information.

2.1 Responsible Use: Users of our platform are required to use our services in a responsible and ethical manner. They must comply with all laws and regulations in force in Belgium and respect the rights of other users.
2.2 Accuracy of Information: Users must provide accurate, complete and up-to-date information when registering and using the Platform. They are responsible for the accuracy of the information they share with other users.
2.3 Compliance with Terms and Conditions: Users must carefully read and accept our terms and conditions before using the platform. They must comply with all provisions of the terms and conditions and not violate them.
2.4 Legal Use: Users must use the Platform in accordance with all applicable laws and regulations in Belgium. They must not engage in illegal, fraudulent or unethical activities.
2.5 Respect for Other Users: Users must treat other users with respect, courtesy and fairness. Offensive, harassing or discriminatory behavior towards other users is not tolerated.
2.6 User Content: Users are responsible for the content they post, share or transmit on the platform. They must ensure that their content respects intellectual property rights, does not violate applicable laws, is not defamatory, offensive or harmful to others. They must refrain from publishing false, misleading or irrelevant information.
2.7 Privacy and Data Protection: Users must respect the privacy of other users and not disclose their personal information without their consent. They must also comply with our privacy policy and all applicable data protection laws.
2.8 Reporting Violations: Users are encouraged to report any suspicious activity, violations of the Terms or inappropriate behavior of other users. We will take appropriate steps to investigate such reports and take necessary action.
2.9 Disclaimer: To the extent permitted by law, we disclaim all liability arising from users' use of the Platform, including direct, indirect, consequential or special damages.
2.10 Uphold Ethical Standards: Treat other users with respect, professionalism, and integrity. Engage in constructive and meaningful interactions that foster collaboration and positive impact.
2.11 Provide Accurate Information: Maintain accurate and up-to-date profiles, ensuring transparency and facilitating meaningful connections. This helps build trust and credibility within our philanthropic community.
Platform Verification of Users: The Platform will implement a user verification process to ensure the authenticity and credibility of businesses and non-profit organizations. The verification process will include verification of legal registrations, certifications, and other relevant references to confirm the legitimacy of the entities concerned. Users will be required to provide accurate and up-to-date information during the verification process.
Selection process for NGOs and non-profit organizations
NGOs and nonprofits submit detailed applications, which we evaluate based on their alignment with our mission, commitment to sustainability, potential impact, financial accountability, and potential for collaboration. Projects that demonstrate strong alignment with our mission and have the potential to create long-term positive change are prioritized.
Once the selection is made, we maintain regular communication with the selected organization(s) to closely monitor the progress of the funded project. Periodic reporting is required to track milestones, results and financial accountability.
We continually review and improve our selection process, taking into account stakeholder feedback and evaluation of project results. By participating in our platform, users acknowledge and agree to comply with this process for selecting and funding impact projects.
Evaluation and Impact Measurement:
The Platform may provide tools or frameworks to measure and evaluate the impact of partnerships and collaborations. The Platform may offer reporting capabilities to enable users to track and communicate the results and impact of their collaborations.
Transparency Commitment for NGOs, Non-Profits and Fundraising Platforms:
In order to maintain the highest standards of integrity, we have established a mandatory requirement for all participating NGOs, non-profits and fundraising platforms to actively engage in the following processes: goal setting, data collection, impact measurement (quantitative, qualitative,), communication, case study documentation, reporting collaboration and data analysis.
By complying with these requirements, NGOs, non-profit organizations and fundraising platforms demonstrate their dedication to transparency and enable us to provide transparent information on the qualitative impact of partnerships.
By embracing transparency, we ensure the maximum credibility and integrity of our platform, enabling our users to make informed decisions and contribute to positive change.
By using our platform, NGOs, non-profit organizations and fundraising platforms acknowledge and accept this mandatory transparency requirement.
Selection of impact projects and financing process
As part of this commitment, we have committed to dedicating 5% of our annual profits to the implementation of sustainable projects.
Impact Bridges operates a transparent and rigorous process for selecting and funding impact projects. NGOs and nonprofits must submit detailed applications, outlining information about their organization and project. Each application is evaluated based on its alignment with our mission and commitment to sustainability, its potential impact, its financial responsibility, and its potential for collaboration.
Selected projects are regularly monitored and reported on, ensuring progress, milestones, and financial accountability. We pride ourselves on showcasing the impact and success of funded projects, which drives collaboration and support across our platform.
By using our platform, users agree to comply with our impact project selection and funding process.
Membership
8.1 Free Membership: Our Platform offers a free membership which provides basic access to our matchmaking services and limited features.
8.2 Premium Membership: We also offer a premium membership option that provides enhanced benefits and features. Premium membership requires an annual payment, which gives you exclusive access to advanced matchmaking tools and additional resources.
8.3 Payment terms
8.4 Premium Membership Fees: The annual premium membership fee will be clearly communicated to you during the registration process or when upgrading to the premium option. We accept different payment methods, which will be indicated on our platform.
8.5 Taxes and Fees: Any applicable taxes or fees related to Premium Membership will be clearly indicated during the checkout process.
Purchases 9.1 Premium Version
An Organization may choose to subscribe to a premium plan on the Impact Bridges website. The Organization will be required to pay an annual fee.
9.2 Automatic renewal; Automatic card payment
When you purchase a subscription through the Impact Bridges website, your payment method will be automatically billed for the subscription until you cancel it. After the initial commitment period of your subscription, your subscription will automatically renew for an additional equivalent period, at the price agreed upon at the time of subscription. Your card payment information will be retained and used in the future for automatic card payments in accordance with the Agreement.
9.3 Modification and termination of subscriptions
You may change or cancel your subscriptions at any time at https://app.impact-bridges.com/. Deleting your account on the Impact Bridges website does not terminate your subscription. You must terminate or cancel your subscription on Impact Bridges to stop being charged. Upon termination or cancellation, your subscription will be available for use until the end of the current term, and no renewal will be made at the end of the current term.
9.4 Billing Errors and Disputing Payments
If you pay Impact Bridges directly, we reserve the right to correct any billing errors or mistakes made, even if payment has already been requested or received. In the event of a dispute or reversal of a payment made to your payment method, Impact Bridges may immediately terminate your account in its sole discretion.
9.5 Unpaid Payments and Updating Payment Information
If a payment is not successfully processed due to expiration, insufficient funds, or otherwise, and you do not change your payment information, terminate or cancel your subscription, you will remain liable for any outstanding amounts. We reserve the right to continue to charge your payment method, as it may be updated, which may result in a change to your billing dates.
9.6 Refunds
In general, all charges related to purchases are non-refundable, and there are no refunds or credits for partially used periods. However, refunds may be granted in certain specific circumstances. If you would like to request a refund, please contact our customer service. Please note that specific conditions apply depending on your jurisdiction:
9.6.1 For subscribers residing in the European Union or the European Economic Area: In accordance with local law, you are entitled to a full refund without having to give a reason within 14 days of the start of the subscription. Please note that this 14-day period begins when the subscription begins.
9.6.2 For subscribers residing in the Republic of Korea: In accordance with local law, you are entitled to a full refund of your subscription within 7 days of purchase.
Unless otherwise stated for members residing in the Republic of Korea, purchases are FINAL AND NON-REFUNDABLE.
9.7 Account Cancellation
Users may terminate or delete their account at any time through their account settings. Please note that terminating or deleting your account does not automatically terminate your subscription. You must terminate or cancel your subscription separately in accordance with the instructions provided on our platform.
9.8 Retention of Information and Deletion of Content
Impact Bridges may retain certain information as required by law or as part of its legitimate business activities, even after the account of the affected users has been deleted. However, upon express request of the users, all of their content will also be immediately deleted from the Impact Bridges platform.
9.9 Renewal of membership
Premium membership is automatically renewed at the end of each annual term unless you choose to cancel. You will be notified in advance of upcoming renewals.
9.10 Cancellation of Membership
If you wish to cancel your premium membership, you must do so before the end of the current annual period. Cancellation instructions will be provided on our platform. Please note that no refunds or credits will be given for cancellations made after the renewal date.
Third Party Partner and Payment Processing:
The Impact Bridges platform works with a third-party partner to process payments on the platform.
Money transfer via Impact Bridges:
When you transfer money to charity through Impact Bridges 5% of the total transaction amount will be charged. This fee will be used for administrative costs related to transactions and to improve, maintain and develop new features on the platform.
Right to Validate a Registration:
Our platform, Impact Bridges, reserves the right to validate registrations and profiles submitted by users. This validation process is crucial to ensure that all users share our common values and goals. It may include verifying the information provided, assessing the relevance of activities in the philanthropic ecosystem, and conducting necessary background checks.
General objects
13.1. By accessing the Impact Bridges Platform, Users acknowledge and agree that their Personal Data (as defined below) will be collected and/or processed for the purposes described in this Privacy Policy. “Personal Data” means any information relating to an identified or identifiable individual, in accordance with applicable privacy laws. “Users” refer to themselves as “They” or “Their”.
13.2. Impact Bridges has taken technical and operational measures to ensure that Users’ Personal Data is protected against unauthorized access, deletion or modification. Impact Bridges will use reasonable efforts to ensure that Users’ privacy interests are protected in accordance with applicable law and best practices. 13.3. The purposes for which Impact Bridges processes Users’ Personal Data include the following: – Identification of the User on the Impact Bridges Platform and use of the Impact Bridges Platform; – Publication or modification of information on the Impact Bridges Platform; – Contacting Users regarding the Impact Bridges Platform and the information published on it; – Tracking the pages visited by Users in order to personalize their use of the Impact Bridges Platform;
Submission of Personal Data and Becoming a Registered User of the Impact Bridges Platform. Impact Bridges collects and processes the Personal Data of Users as provided by them during the registration process provided on the Impact Bridges Platform, or through their use of the Impact Bridges Platform. This data may include their name, surname, physical and electronic address, and where applicable, their telephone number, their company and their position. Impact Bridges also collects and processes data collected during their use of the Impact Bridges Platform. This data may include the date and time of their visit (timestamp), the type of browser they use, their IP address and the pages visited, as well as data related to the type of files they download from or upload to the Impact Bridges Platform. 15. User Rights 15.1. In accordance with applicable law, Users have the right to access their Personal Data as collected and processed by Impact Bridges, and to obtain the modification or deletion of the data if it is inaccurate or not necessary for the purposes for which it was collected. 15.2. Users may also request that Impact Bridges permanently delete their personal information from the Platform. Please note, however, that the information that Users have submitted to the Platform will remain available, which implies that Users must obtain the consent of other users of the Impact Bridges Platform to allow them to prevent further processing and/or deletion of this information. 16. Modifications If Users are registered on the Impact Bridges Platform, they will be able to correct, update or modify their personal information provided to Impact Bridges regarding their account and user profile via the Account Settings. 17. Right to be Forgotten If Users wish for Impact Bridges to delete their personal information, please contact Impact Bridges’ Data Protection Officer (see below). 18. Modifications If Users are registered on the Impact Bridges Platform, they will have the ability to correct, update or modify their personal information provided to Impact Bridges in connection with their account and user profile via the Account Settings. 19. Sharing and Disclosure of Personal Information on the Impact Bridges Platform
19.1. Impact Bridges collects information that users provide directly when using the Impact Bridges Project. This personal information includes, but is not limited to, users’ name, email address, city and country, and their professional category. Impact Bridges may also collect other personal data stored on systems or in connection with third-party services directly connected to or used in the Impact Bridges Platform. 19.2. Users acknowledge and agree that, by using the Impact Bridges Platform, Impact Bridges may disclose and/or share their information at their discretion in connection with their use of the Impact Bridges Platform, including if Impact Bridges notifies users, through the Impact Bridges Platform, that certain information they provide will be shared in a particular manner and they provide such information. 19.3. Impact Bridges only uses users' personal information collected through the Impact Bridges Platform for the purpose of identifying other users of the Impact Bridges Platform as a member of the Impact Bridges Platform, providing, maintaining, and improving the Impact Bridges Platform, and, where applicable, facilitating or enabling other users of the Impact Bridges Platform to engage in business with them or the company or organization they represent. Additionally, Impact Bridges may use users' personal information to send them information about the Impact Bridges Platform, such as technical notices and administrative messages about Impact Bridges, responses to their comments or questions, news and information that Impact Bridges believes will be of interest to them, information about events, tests, new features of the Platform, and other promotional communications. If users no longer wish to receive or use certain promotional information, they can adjust their account settings accordingly or follow the instructions in such communications. Impact Bridges may nevertheless send users non-promotional communications, such as messages regarding their account. 19.4. Please do not process any other information, especially sensitive information (such as, but not limited to, medical information, medical diagnoses, clinical data, etc.) in connection with the Impact Bridges Platform.
19.5. In addition, while the Impact Bridges Platform is offered by Impact Bridges, it also relies on various third-party service providers in different countries in order to provide, maintain and improve the Impact Bridges Platform and its use. These companies include hosting and telecommunications companies with which Impact Bridges may or may not have direct contractual relationships, but which may perform essential technical functions for the proper functioning of the Impact Bridges Platform. In order to achieve this objective, users acknowledge and accept that Impact Bridges may provide their private personal information to such service providers, who are in any case only authorized to process such information in connection with the operation of the Impact Bridges Platform. 19.6. All information processed through the Impact Bridges Platform is processed within the European Union; however, please note that users registered with Impact Bridges may access the Impact Bridges Platform and use the services outside the European Economic Area. 19.7. Impact Bridges may share personal information in response to a request for information if Impact Bridges believes that disclosure is in accordance with any applicable law, regulation or legal process, or is otherwise required by any applicable law, rule or regulation, or if Impact Bridges believes that user actions are inconsistent with the spirit or letter of the Agreement, or to protect the rights, property or safety of Impact Bridges or others.
Logs 20.1. Users expressly acknowledge and agree that Impact Bridges may automatically record information created, shared or published by and in accordance with their use of the Impact Bridges Platform (“Logs”). Through these Logs, Impact Bridges stores personal and non-personal information such as, but not limited to, users’ IP addresses, operating systems, other users with whom users have exchanged information, location, mobile service providers, device and application identifiers, etc. 20.2. Impact Bridges uses these Logs to provide, measure, personalize and improve the Impact Bridges Platform, and to respond to requests from law enforcement agencies, at their request. In this regard, users expressly agree and accept that, notwithstanding anything to the contrary in this Privacy Policy, Impact Bridges may preserve or disclose their information in order to comply with a law, regulation or official request from a government agency, such as data protection authorities, law enforcement officials or courts, to protect the integrity of a person, prevent or respond to security or technical issues, fraudulent behavior or the integrity of the Impact Bridges Platform. 21. Cookies 21.1. Impact Bridges may use information about users in order to personalize and improve Impact Bridges, to provide content or features that match users' profiles or interests, and to monitor and analyze trends, usage and activities related to the Impact Bridges Platform. To do this, Impact Bridges may use different technologies to collect information, including by sending cookies to users' computers or devices. Cookies are small data files stored in the device's memory that help Impact Bridges improve the Impact Bridges Platform and user experience, identify which areas and features of the Impact Bridges Platform are most popular, and count visits. Impact Bridges uses both functional cookies and analytics cookies. 21.2. Functional cookies are essential for the use of the website www.impact-bridges.com
. They store, among other things, user preferences and are not shared with third parties. Analytics cookies help Impact Bridges improve the site by providing information about how users interact with websites, such as the number of visitors, the pages visited and the duration of their visit. These cookies do not collect information that identifies a visitor. All information collected by these cookies is aggregated and therefore anonymous. 21.3. Impact Bridges may also collect information using web beacons (also known as “tracking pixels”). Web beacons are electronic images that may be used in the Impact Bridges platform or in emails. They help deliver cookies, count visits, understand usage and campaign effectiveness, and determine whether an email has been opened and acted upon. 21.4. Please note that if users choose to block, delete or reject cookies, this may affect the availability and functionality of the Impact Bridges Platform. 22. Security 22.1. Impact Bridges takes reasonable steps to help protect user information from loss, theft, misuse and unauthorized access, disclosure, alteration and destruction. However, as mentioned in the Terms of Use, users expressly acknowledge and agree that, in general, the transmission of information over the Internet is never completely secure, private or confidential. Therefore, any information sent to or received from the Impact Bridges Platform may be intercepted, deciphered, accessed and/or used by third parties, even if technology is used to encrypt such information exchanges. 23. Impact Bridges Privacy Policy 23.1. If Users have further questions regarding Impact Bridges’ use of Personal Data, wish to access, correct, update or delete their Personal Data, or wish to file a complaint, please contact Impact Bridges Customer Service at hello@impact-bridges.com . 23.2. Users may obtain access to their Personal Data by sending a written, dated and signed request, accompanied by a copy of their identity card, to Impact Bridges Customer Service at hello@impact-bridges.com .
23.3. Changes to this Policy Impact Bridges reserves the right to change this Privacy Policy from time to time. If Impact Bridges makes changes, it will notify users by changing the effective date of this Privacy Policy. In some cases, Impact Bridges may provide users with additional notice, such as a message displayed on the Impact Bridges Platform. 25. Intellectual property
25.1 Ownership of Content: Users of our Platform acknowledge and agree that they retain ownership of the content they create and share. Our Platform does not claim any ownership rights over user-generated content.
25.2 Respect for Intellectual Property Rights: Users must respect the intellectual property rights of others. This includes copyrights, trademarks, patents and any other proprietary rights. Users must not upload, share or use content that infringes these rights.
25.3 Prohibited Actions: Users are strictly prohibited from engaging in any activity that violates intellectual property rights. This includes, but is not limited to, copying, modifying, distributing or publicly displaying copyrighted material without proper authorization.
25.4 Reporting Infringements: We encourage users to report any suspected infringement of intellectual property rights on our platform. We will promptly investigate such reports and take appropriate action, which may include removing or disabling access to the infringing content.
25.5 User Responsibility: Users are solely responsible for the content they upload, share or transmit on the Platform. They guarantee that they have the necessary rights, licenses or authorizations to use and share the content without violating intellectual property rights.
25.6 Indemnification: Users agree to indemnify and hold our Platform and Company harmless from any claims, damages or losses arising from their violation of intellectual property rights or their violation of this Section.

26.3 Platform Updates and Communication:
We are committed to transparent communication. We will notify our users of important updates or changes to our platform based on the feedback we receive. Your feedback may also prompt us to contact you for further collaboration or to better understand your needs.
26.4 Confidentiality and anonymity:
We respect your privacy. If you prefer to provide anonymous feedback, you can do so without disclosing your identity. All personal information shared will be handled in accordance with our privacy policy to ensure the security and confidentiality of your data.
Legal and Ethical Use

27.5 Harassment and Discrimination: Users must treat others with respect and dignity. Harassment, discrimination or any form of offensive behavior based on race, gender, religion, nationality or any other protected characteristic is strictly prohibited.
27.6 Unauthorized Access: Users must not attempt to gain unauthorized access to other users' accounts, sensitive information or any part of the Platform's infrastructure.
27.7 User Content: Users are fully responsible for the content they post or share on the Platform. They must ensure that their content does not violate any laws, infringe intellectual property rights, and does not contain any offensive, defamatory or misleading information.
27.8 Reporting Violations: Users are encouraged to report any suspected violations of the Legal and Ethical Use section to our Platform Support Team. Action will be taken promptly to investigate and remediate reported violations.
27.9 Consequences of Violations: Violations of the Legal and Ethical Use section may result in suspension or termination of a user's account, at our sole discretion. We reserve the right to take legal action if necessary.

These modifications may be made to ensure the best possible experience for users of our Platform.
We encourage you to exercise caution and due diligence when using third-party sites linked to our Platform. We cannot guarantee the availability, reliability, quality or security of these third-party sites, nor can we be held responsible for any harm or damage arising from their use.
Modification of the General Conditions:
30.1 Modification Rights: Impact Bridges (“the Platform/web app”) reserves the right to modify or update these Terms and Conditions at its sole discretion. By using the Platform, you acknowledge and agree that it is your responsibility to periodically check these Terms and Conditions for any changes.
30.2 Notification of Changes: The Platform will make reasonable efforts to notify users of any changes to the Terms and Conditions. Such notifications may be sent by email or via an announcement on the Platform website. You understand and agree that it is your responsibility to regularly check your emails and the Platform website for any updates.
30.3 Acceptance of Modified Terms: Continued use of the Platform after notification of changes constitutes your acceptance of the modified Terms and Conditions. If you do not agree with the changes, you must stop using the Platform.
30.4 Comments and Objections: The Platform values your feedback and encourages you to provide any comments, concerns or objections you may have regarding the amended Terms and Conditions. You may submit your comments via the designated contact channel provided on the Platform. The Platform will review all comments received and may, at its discretion, make further adjustments to the amended terms.
30.5 Applicable Law and Jurisdiction: These General Conditions shall be governed by and construed in accordance with the laws of Belgium. Any dispute arising out of these General Conditions shall be subject to the exclusive jurisdiction of the Belgian courts.
Technology and Innovation:
The platform will use advanced technologies, such as artificial intelligence and machine learning algorithms, to facilitate efficient and compatible matching between businesses and nonprofits. The platform may collaborate with technology partners or use third-party tools to improve its functionality and user experience.
Applicable Law Users irrevocably accept and agree that the laws of Belgium shall apply to the Agreement, including any dispute, controversy or claim between Users and Impact Bridges relating to the use of the Impact Bridges Platform and the information contained therein, without regard to principles of conflicts of laws. Only the courts of Dendermonde (Belgium) shall have jurisdiction to resolve any dispute, controversy or claim arising out of the Agreement, the use of the Impact Bridges Platform and/or the information contained therein. Users hereby irrevocably and unconditionally consent to the jurisdiction of such courts for such purposes. 33. Disclaimer Notwithstanding that the Content will be provided through the Impact Bridges Project, Impact Bridges does not in any way guarantee: (I) the accuracy, completeness or usefulness of any Content provided by or on behalf of Impact Bridges or any third party related to Impact Bridges; or (II) adopts, endorses or accepts responsibility for the accuracy or reliability of any opinion, advice or statement made by any party other than Impact Bridges. Under no circumstances will Impact Bridges be responsible or liable for any direct or indirect loss or damage resulting from the user's reliance on information or other content posted on the Impact Bridges Platform, submitted or provided by any user of the Impact Bridges Platform. To the maximum extent permitted by applicable law, the Impact Bridges Platform and, generally, the services offered by Impact Bridges will be provided on an "as is" and "as available" basis. Impact Bridges makes no warranties, express, implied, statutory or otherwise, with respect to the Service (including any content contained therein or services rendered therein, particularly if provided by third parties). This includes, without limitation, any implied warranties of satisfactory quality, merchantability, fitness for a particular purpose or non-infringement. Impact Bridges does not guarantee that the Service will be available at all times, up to date, uninterrupted, error-free, secure or that any defects or errors in the Service will be corrected. In addition, users expressly acknowledge and accept that, in general, the transmission of information over the Internet is never completely secure, private or confidential. Consequently, any information sent to or received from the Impact Bridges platform may be intercepted, decrypted, accessed and/or used by third parties, even if technology is used to encrypt these information exchanges.
Some products or information displayed or promoted on the Impact Bridges platform may not be available in some users' country or region. Limitation of Liability IN NO EVENT WILL IMPACT BRIDGES, ITS SHAREHOLDERS, DIRECTORS, OFFICERS, AGENTS, EMPLOYEES, AFFILIATES, BUSINESS PARTNERS, LICENSORS OR SERVICE PROVIDERS BE LIABLE TO USERS OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOSS OF REPUTATION, DAMAGES RELATED TO LOSS, CORRUPTION OR BREACH OF DATA OR PROGRAMS, SERVICE INTERRUPTIONS AND PROCUREMENT OF SUBSTITUTE SERVICES, EVEN IF IMPACT BRIDGES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. EXTENT PERMITTED BY APPLICABLE LAW. IN ANY EVENT, IMPACT BRIDGES SHALL ONLY BE LIABLE FOR ITS WILLFUL NEGLIGENCE. USERS EXPRESSLY CONSENT AND AGREE THAT ANY OTHER LIABILITY, EVEN IN THE EVENT OF GROSS NEGLIGENCE OR MISCONDUCT BY OR ON BEHALF OF IMPACT BRIDGES, IS EXPRESSLY EXCLUDED. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, IMPACT BRIDGES' LIABILITY TO USERS FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF THE ACTION, WILL ALWAYS BE LIMITED TO THE AMOUNT PAID, IF ANY, BY THE AFFECTED USER TO IMPACT BRIDGES AS AN AUTHORIZED USER OF IMPACT BRIDGES' SERVICES. USER EXPRESSLY AGREES AND UNDERSTANDS THAT IMPACT BRIDGES SHALL NOT BE LIABLE FOR ANY ADDITIONAL OR OTHER DAMAGES. ALTHOUGH THE PLATFORM AIMS TO FACILITATE CONNECTIONS AND COLLABORATIONS, THE FINAL DECISION TO ENTER INTO A PARTNERSHIP RESTS WITH THE PARTICIPATING COMPANIES AND NON-PROFIT ORGANIZATIONS.
